Terms of Service

1. Acceptance of these terms

These Terms of Service (the “Terms”) govern your use of the Council web application (council-app-production.up.railway.app), the Council marketing site (joincouncil.app), and the Council Chrome extension (together, the “Service”). The Service is operated by Brian Collard (“Council,” “we,” “us”).

By creating an account, installing the extension, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What Council does

Council is a multi-provider LLM conversation manager. It syncs, organizes, and searches conversations from third-party providers (including OpenAI, Anthropic, Google, and Perplexity) and provides chat, chain, and workflow tooling on top of those providers.

Council does not provide the underlying AI models. We relay your requests to the providers you select, using credentials you supply.

3. Eligibility and accounts

You must be at least 13 years old to create a Council account, and old enough in your jurisdiction to enter a binding contract. During the private alpha, an invitation code is required to register.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use.

4. Your content

You own your content. Conversations, prompts, chains, notes, files, and any other content you create, upload, or sync into Council remain your property. You grant Council a limited license to store, process, display, and transmit your content solely to operate the Service for you.

You represent that you have the right to submit any content you send through the Service, and that doing so does not violate any third-party rights or applicable law.

5. Third-party providers and your API keys

Council interoperates with third-party LLM providers (OpenAI, Anthropic, Google, Perplexity, and others). Your use of those providers is governed by the provider's own terms and privacy policies. Council is not responsible for the accuracy, availability, or behavior of third-party providers.

If you supply your own API keys, those keys are used only to relay your requests to the selected provider. You are responsible for the costs incurred under your own API keys and for complying with the provider's terms. Council does not pay for, meter, or subsidize your provider usage.

The Council Chrome extension operates on chatgpt.com, claude.ai, and gemini.google.com to sync conversations from your own logged-in sessions. You are responsible for complying with each provider's terms of use regarding automated access or data export from their services.

You agree not to use the Service to:

We may investigate suspected violations and suspend or terminate accounts that violate these Terms.

7. AI output — no warranty of accuracy

Output generated by third-party LLM providers and relayed through Council may be inaccurate, incomplete, biased, or misleading. You should not rely on AI output as professional advice (legal, medical, financial, or otherwise) or as a substitute for independent verification.

Council's “citations” features, when present, are intended to help you verify sources, but the presence of a citation does not guarantee its accuracy. Always confirm material claims before acting on them.

8. Service availability, alpha status, and changes

Council is currently in private alpha. The Service is provided on an evolving basis and may contain bugs, incomplete features, and occasional downtime. Features may be added, changed, or removed at any time without notice.

We do not guarantee uninterrupted availability, backup frequency, or recovery of lost data during the alpha period. You are responsible for maintaining your own backups of critical content (including by using the Service's export tools).

9. Fees and subscriptions

Council is free during the private alpha. Paid tiers may be introduced in the future; when they are, pricing, billing cycles, refund terms, and cancellation rights will be disclosed clearly before you subscribe. No charges will be initiated without your express consent.

10. Intellectual property

The Service, the Council brand, logos, source code (except portions published under open licenses), design, and documentation are the property of Brian Collard and are protected by copyright, trademark, and other intellectual-property laws.

Nothing in these Terms grants you any right, title, or interest in Council's trademarks, logos, or trade dress. Source code that we publish under an open-source or source-available license is governed by the terms of that license.

11. Termination

You may stop using the Service and delete your account at any time from Settings → Account → Delete Account. We may suspend or terminate your account for any violation of these Terms, any activity that threatens the integrity or security of the Service, or if required by law.

Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. COUNCIL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COUNCIL AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL COUNCIL'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO COUNCIL IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Council and its operator from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your content, your use of the Service, your violation of these Terms, or your violation of any third-party right, including any third-party provider's terms of service.

15. Governing law and disputes

These Terms are governed by the laws of the State of Missouri, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in St. Louis County, Missouri, and you consent to the jurisdiction of those courts.

16. Changes to these terms

We may update these Terms from time to time. Material changes will be announced via email or in-product notification at least 14 days before they take effect, except where an earlier effective date is required by law or to address a security or legal issue. The “Last updated” date at the top of this page always reflects the most recent revision. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the update.
